By subscribing, you: – Authorize us to charge your payment method on a recurring basis (monthly, annually, etc.) until you cancel – Understand that subscription fees are billed in advance for the upcoming period – May cancel your subscription at any time by contacting us at care@zeropoint.earth Cancellation will take effect at the end of the current billing period. You will retain access until that period ends. 10.4 Refund Policy Our complete Refund Policy is available at: https://www.kaenergetics.com/refund-policy By making a purchase, you acknowledge that you have read and agree to our Refund Policy, which is incorporated into these Terms by reference. 10.5 Chargebacks & Payment Disputes If you initiate a chargeback or payment dispute with your bank or credit card company without first contacting us to attempt to resolve the issue, we reserve the right to: – Immediately suspend or terminate your access to all Services – Contest the chargeback with evidence of the transaction – Pursue any available legal remedies – Recover any fees or costs incurred as a result of the dispute We encourage you to contact us at care@zeropoint.earth to resolve any billing concerns before initiating a dispute.

16. LIMITATION OF LIABILITY 16.1 Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KA ENERGETICS, ITS OWNERS, DIRECTORS, EMPLOYEES, PRACTITIONERS, AGENTS, AFFILIATES, PARTNERS, SUPPLIERS, OR LICENSORS BE LIABLE FOR:
  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses
  • ANY DAMAGES ARISING FROM your access to, use of, or inability to access or use our Site or Services
  • ANY DAMAGES ARISING FROM any conduct or content of any third party on our Site or Services
  • ANY DAMAGES ARISING FROM unauthorized access, use, or alteration of your transmissions or content
  • ANY DAMAGES ARISING FROM any errors, mistakes, or inaccuracies in Content
  • ANY DAMAGES ARISING FROM personal injury or property damage resulting from your use of our Services
  • ANY DAMAGES ARISING FROM any interruption or cessation of our Services
16.2 Cap on Liability IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF OUR SITE OR SERVICES EXCEED THE GREATER OF:
  • The amount you paid to KA Energetics in the twelve (12) months immediately preceding the event giving rise to the claim, OR
  • One Hundred US Dollars ($100 USD)
16.3 Essential Purpose THE LIMITATIONS OF LIABILITY SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN KA ENERGETICS AND YOU. OUR SITE AND SERVICES WOULD NOT BE PROVIDED WITHOUT SUCH LIMITATIONS. 16.4 Jurisdictional Limitations These limitations apply only to the maximum extent permitted by law. Where consumer protection laws prohibit these limitations (like in the EU, UK, or Australia), those laws take precedence. 16.5 Acknowledgment YOU ACKNOWLEDGE AND AGREE THAT THE LIMITATIONS OF LIABILITY REFLECT A REASONABLE AND FAIR ALLOCATION OF RISK BETWEEN YOU AND KA ENERGETICS, AND THAT THESE LIMITATIONS ARE AN ESSENTIAL BASIS TO OUR ABILITY TO MAKE OUR SITE AND SERVICES AVAILABLE TO YOU.

INDEMNIFICATION 17.1 Your Indemnification Obligations You agree to indemnify, defend, and hold harmless KA Energetics, its owners, directors, officers, employees, practitioners, agents, affiliates, partners, suppliers, and licensors from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees and court costs) arising from or related to:
  • Your use of or access to our Site or Services
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property, privacy, or publicity rights
  • Your violation of any applicable law, rule, or regulation
  • Any content you submit, post, or transmit through our Site or Services
  • Your negligent or wrongful conduct
  • Any dispute between you and another user of our Services
  • Any claims related to your health, well-being, or personal outcomes resulting from your use of our Services
17.2 Our Rights We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such case, you agree to cooperate with our defense of such claim. You will not settle any claim without our prior written consent.
18. DISPUTE RESOLUTION & GOVERNING LAW 18.1 Governing Law

These Terms and any dispute arising from or related to these Terms or your use of our Site or Services shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to conflict of law principles.

Nothing in this choice of law provision affects your rights under the mandatory consumer protection laws of your country of residence, where such protections cannot be waived by agreement.

For users residing in the European Union, nothing in these Terms affects your rights under EU consumer protection regulations.

18.2 Informal Resolution Before initiating any formal dispute resolution proceeding, you agree to first contact us at care@zeropoint.earth and attempt to resolve the dispute informally. We will attempt to resolve the dispute by contacting you via email. If a dispute is not resolved within thirty (30) days of submission, either party may proceed with formal dispute resolution. 18.3 Binding Arbitration If we cannot resolve a dispute informally, any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, shall be finally settled by binding online arbitration.
  • The arbitration shall be conducted online through a reputable online dispute resolution (ODR) platform mutually agreed upon by the parties, or if no agreement is reached, through an internationally recognized online arbitration service
  • The arbitration shall be conducted by a single arbitrator
  • The language of the arbitration shall be English
  • All hearings and submissions shall be conducted remotely via video conference unless both parties agree otherwise
  • The arbitrator’s decision shall be final and binding
  • Judgment on the award may be entered in any court of competent jurisdiction
This arbitration provision doesn’t apply where prohibited by consumer protection law. If you’re in the EU, UK, Australia, Brazil, or another jurisdiction with mandatory consumer dispute rights, you retain all your legal rights to resolve disputes in court. 18.4 Class Action Waiver YOU AND KA ENERGETICS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. Unless both you and KA Energetics agree otherwise, the arbitrator may not consolidate more than one person’s claims and may not preside over any form of representative, class, or collective proceeding. This waiver may not be enforceable in all jurisdictions. Nothing here waives your rights under consumer protection laws that don’t permit such waivers. 18.5 Exceptions Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information. 18.6 Time Limitation You agree that any claim or cause of action arising from or related to your use of our Site or Services must be filed within one (1) year after such claim arose, or the minimum period required by applicable law, whichever is longer. 19.
